Agreement to Terms

Welcome to RentGuardus. These Terms of Service ("Terms") govern your access to and use of our website, platform, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

RentGuardus provides rental protection and financial services including, but not limited to:

• Rent payment guarantees for landlords
• Credit building services for renters
• Tenant screening and risk analytics (Morpheus AI)
• Legal defense and eviction support (Goliath Legal Defense)
• Communication platform (Opendoor)
• Move-out services (Spectra)
• Security deposit alternatives
• Emergency rent funds and short-term loans
• Guarantor services

Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract
• Provide accurate, complete, and current information
• Comply with all applicable laws and regulations
• Not be prohibited from using our Services under applicable law

Account Registration and Security

When you create an account with us, you agree to:

• Provide accurate and complete registration information
• Maintain and update your information to keep it accurate and current
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access or security breach
• Be responsible for all activities that occur under your account

For Landlords

Landlord monthly fees use each enrolled unit's monthly rent and plan rate (Silver: 4.5%, Gold: 5.5%, Platinum: 6.5%, Titanium: 8.5%, Obsidian: 10.5%), not an automatic deduction from collected rent. Rent nonpayment coverage varies by plan (2, 4, 6, 9, or 12 months), subject to the approved agreement, eligibility, activation, and the separate 60-day probation period. Proposed landlord billing: $199.99 one-time admin fee per new profile plus applicable tax at signup. Monthly rent × plan rate follows a 30-day provider trial, then monthly renewal. Payment date + 30 days is an estimate, not a provider-confirmed charge date. Paid admin fees are not reset by subscription cancellation. Final membership terms are pending approval; live checkout is blocked. This proposed disclosure is not final membership terms or approval; final cancellation, renewal, refund, and coverage provisions are still pending.

For Renters

Renter subscription fees are charged monthly or annually, depending on your selected plan. All fees are non-refundable except as required by law. We reserve the right to modify our pricing with 30 days' notice.

Late Payments

Late payments may result in suspension or termination of services. We reserve the right to charge late fees as permitted by law.

Rent Guarantee Terms

Our rent guarantee service provides protection against tenant default subject to the following conditions:

• Tenant must be approved through our Morpheus screening process
• Landlord must report tenant default within 5 business days
• Maximum rent nonpayment coverage varies by plan (up to 12 months for Obsidian; Obsidian covers the full term of a 12-month lease and is not unlimited)
• Landlord must cooperate with eviction proceedings
• Coverage excludes damages beyond normal wear and tear
• Property must meet our eligibility requirements

Credit Reporting Services

By enrolling in our credit-building services, you authorize us to:

• Report your rent payment history to credit bureaus
• Verify your identity and rental information
• Access your credit reports for monitoring purposes
• Communicate with credit bureaus on your behalf

We report both on-time and late payments. You are responsible for ensuring rent payments are made on time. We are not responsible for credit bureau errors or delays in reporting.

User Conduct

You agree not to:

• Violate any applicable laws or regulations
• Provide false or misleading information
• Impersonate any person or entity
• Interfere with or disrupt our Services
• Attempt to gain unauthorized access to our systems
• Use our Services for fraudulent purposes
• Transmit viruses, malware, or harmful code
• Harass, abuse, or harm other users
• Violate intellectual property rights

Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, software, and code, are owned by RentGuardus and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

Service Availability

Our Services are provided "as is" and "as available." We do not guarantee uninterrupted, error-free, or secure access to our Services. We reserve the right to modify, suspend, or discontinue services at any time without notice.

No Warranty

We make no warranties, express or implied, regarding the accuracy, reliability, or completeness of information provided through our Services. We do not guarantee specific results from using our Services, including credit score improvements or tenant quality.

Limitation of Liability

To the fullest extent permitted by law, RentGuardus shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising from your use of our Services. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless RentGuardus and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from your use of our Services, violation of these Terms, or infringement of any rights of another party.

Termination

We reserve the right to suspend or terminate your account and access to our Services at any time, with or without notice, for any reason, including:

• Violation of these Terms
• Fraudulent activity
• Non-payment of fees
• Harm to other users or our reputation

Upon termination, your right to use our Services will immediately cease. Provisions that by their nature should survive termination (including payment obligations, disclaimers, and limitations of liability) will continue to apply.

Dispute Resolution

Any dispute arising from these Terms or our Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class actions. Arbitration will take place in Dallas County, Texas.

Notwithstanding the above, either party may seek injunctive relief in court for intellectual property infringement or unauthorized use of Services.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by email or through our website. Your continued use of our Services after changes take effect constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
